Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between RasedPro Technologies (“we”, “our”, or “us”) and the customer organization or user accessing the RasedPro web application, mobile app, and related services (the “Service”). Please read them carefully.
1. Acceptance and authority
By creating an account, accepting an invitation, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you accept on behalf of a company or other organization (the “Customer”), you represent and warrant that you are duly authorized to bind that organization, and “you” in these Terms refers to both you and that organization. If you do not have such authority, or you do not agree to these Terms, you must not use the Service.
2. The Service
RasedPro Technologies provides a multi-tenant, subscription-based software platform for human resources management, IT service requests, electronic signatures, and reporting. The features available to you depend on the modules and subscription plan enabled for your organization's tenant. We may improve, add, or modify features of the Service from time to time, provided such changes do not materially reduce the core functionality of your active subscription.
3. Accounts and tenant administration
Each Customer is provisioned a logically isolated tenant within the Service. The Customer's designated administrators control user provisioning, roles, and permissions inside that tenant. You are responsible for:
- maintaining the accuracy of registration and billing information;
- safeguarding account credentials and promptly notifying us of any suspected unauthorized access;
- all activity that occurs under accounts created within your tenant;
- as the Customer, ensuring that the personal data of your employees and other data subjects is collected and entered into the Service lawfully, with a valid legal basis under the Saudi Personal Data Protection Law (PDPL), and that your use of the Service complies with Saudi labor law and other applicable regulations.
4. Acceptable use
You agree not to, and not to permit any user of your tenant to:
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- interfere with or disrupt the integrity, security, or performance of the Service, or attempt to gain unauthorized access to the Service, other tenants' data, or related systems and networks;
- use the Service to store or transmit content that is unlawful under the laws of the Kingdom of Saudi Arabia, infringing, defamatory, or harmful, or that violates the privacy or rights of any person;
- resell, sublicense, rent, or provide the Service to third parties except as expressly permitted by your subscription;
- use the Service to send unsolicited communications or to conduct fraudulent or deceptive activity, including misuse of the electronic-signature module to forge or misattribute signatures;
- perform load testing, vulnerability scanning, or penetration testing without our prior written consent.
We may suspend access immediately where continued use presents a security risk or a violation of law, as described in section 11.
5. Subscriptions, fees, and payment
The Service is offered on subscription plans described at the time of purchase or in your tenant's subscription settings. Unless stated otherwise:
- Currency and taxes: fees are stated and charged in Saudi Riyals (SAR) and are exclusive of value-added tax (VAT), which will be added at the rate prescribed by the Zakat, Tax and Customs Authority (ZATCA).
- Payment processing: payments are processed through the Moyasar payment gateway. We do not store full card numbers on our systems; card data is handled by Moyasar in accordance with its own terms and PCI DSS requirements.
- Auto-renewal: subscriptions renew automatically at the end of each billing cycle at the then-current rate unless cancelled through your tenant settings before the renewal date. We will notify you in advance of material price changes.
- Non-payment: if a renewal charge fails or an invoice remains unpaid, we may, after reasonable notice, suspend your tenant's access until payment is received. Persistent non-payment may lead to termination under section 11.
- Refunds: except where required by applicable Saudi consumer or commercial regulations, fees are non-refundable for partial billing periods.
6. Intellectual property
RasedPro Technologies and its licensors retain all right, title, and interest in and to the Service, including its software, design, trademarks, and documentation. No rights are granted to you other than the limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. The Customer retains all rights to the data it and its users submit to the Service (“Customer Data”); you grant us a limited license to host, process, and transmit Customer Data solely to provide and secure the Service. Feedback you provide about the Service may be used by us without obligation.
7. Electronic signatures and records
The Service includes an electronic-signature module. Electronic signatures, electronic records, and audit trails generated through the Service are intended to be legally valid and enforceable in accordance with the Saudi Electronic Transactions Law (Royal Decree No. M/18 of 1428H) and its implementing regulations. You are responsible for determining whether a particular document type is eligible for electronic execution under applicable law (certain instruments may require notarization or other formalities) and for verifying the identity and authority of your signatories. We maintain signature audit logs (signer, timestamp, and related metadata) as evidence of the signing process.
8. Data protection
Our collection and processing of personal data is described in our Privacy Policy, and processing of Customer Data on the Customer's behalf is governed by our Data Processing Agreement. Both documents form part of these Terms. We process personal data in accordance with the Saudi Personal Data Protection Law (PDPL) and the regulations issued by the Saudi Data & AI Authority (SDAIA). As between the parties, the Customer acts as the data controller for personal data of its employees and other data subjects entered into its tenant, and RasedPro Technologies acts as a data processor.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or available at all times; maintenance windows, third-party outages, and events beyond our reasonable control may affect availability. The Service is a workflow tool and does not constitute legal, tax, accounting, or HR-compliance advice; you remain responsible for your own regulatory obligations.
10. Limitation of liability
To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or goodwill, arising out of or related to these Terms; and (b) our aggregate liability arising out of or related to the Service shall not exceed the fees paid by the Customer for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Saudi law, including liability for fraud, gross negligence, or willful misconduct.
11. Suspension and termination
Either party may terminate these Terms upon material breach by the other party that remains uncured for thirty (30) days after written notice. We may suspend or terminate your access immediately for serious violations of section 4, security threats, or where required by law, and may suspend access for non-payment as described in section 5. The Customer may terminate by cancelling its subscription; termination takes effect at the end of the current billing period unless otherwise agreed.
Data export window: for thirty (30) days following termination or expiry, we will make Customer Data available for export in a commonly used format upon written request. After this window, we will delete or anonymize Customer Data in accordance with our retention policy, except where retention is required by Saudi law (for example, labor-law record-keeping obligations).
12. Changes to these Terms
We may update these Terms from time to time. The “last updated” date above will change, and material changes will be communicated by email or in-app notification at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to a material change, you may terminate your subscription before the change takes effect.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts and judicial committees of the Kingdom of Saudi Arabia.
